American Equity shareholders authorize an increase in shares

American Equity Investment Life Holding Co. shareholders approved a proposal to increase the number of authorized shares of common stock to 200 million from the 125 million provided for in the company’s articles of incorporation.

It was one of six proposals approved at the West Des Moines-based company’s annual meeting this month. The only proposal that failed was a complicated plan to allow the issuance of extra shares when converting financial notes.

The shareholders approved six members of the board of directors: Joyce Chapman, James Gerlach, Robert Howe, Debra Richardson, Gerard Neugent and David Mulcahy. They approved the compensation for American Equity’s executive officers, but also decided to hold advisory votes on compensation annually.
